1. Acceptance of Terms
By accessing and using Strategic IT Services' website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description
Strategic IT Services provides IT support, computer repair, and technology consulting services to small businesses. Our services include but are not limited to: Remote IT support and troubleshooting, onsite technical support (Nashville area), computer repair and maintenance, network setup and configuration, security audits and compliance, digital transformation consulting, and fractional CTO services.

3. Service Agreement
All services are provided on a project-by-project basis with no ongoing contracts or subscription fees unless explicitly agreed upon in writing. Service terms include: Upfront pricing and quotes before work begins, payment due upon completion of services, no monthly or recurring fees unless specified, and service availability subject to scheduling and capacity.

4. Payment Terms
Payment terms are as follows: Payment is due upon completion of services unless other arrangements are made, we accept cash, check, and major credit cards, late payment fees may apply to overdue accounts, and all prices are subject to change without notice.

5. Limitation of Liability
Strategic IT Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

6. Data Backup and Recovery
While we take reasonable precautions to protect your data, clients are responsible for maintaining adequate backups of their data. Strategic IT Services is not responsible for data loss that may occur during service provision.

7. Confidentiality
We maintain strict confidentiality regarding all client information and business data. We will not disclose any confidential information to third parties without written consent, except as required by law.

8. Service Availability
We strive to provide reliable service but cannot guarantee uninterrupted access. Service availability may be affected by factors beyond our control, including but not limited to internet connectivity, third-party service providers, and technical issues.

9. Intellectual Property
All content, trademarks, and intellectual property on our website and in our services remain the property of Strategic IT Services or our licensors. You may not reproduce, distribute, or create derivative works without written permission.

10. Prohibited Uses
You may not use our services for any unlawful purpose or to solicit others to perform unlawful acts, to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances, to infringe upon or violate our intellectual property rights or the intellectual property rights of others, to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate, or to submit false or misleading information.

11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

12. Governing Law
These Terms shall be interpreted and governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.

13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
